Terms and Conditions of Use

1. Service Description

ProjexaOne is a multi-tenant SaaS (Software as a Service) platform designed for comprehensive management of HOAs, condominiums, buildings and residential communities. The service includes unit and resident management, financial control, announcements, account statement generation, maintenance tickets, resident portal and administrative tools.

The service is operated by Piero Cimule Troise ("ProjexaOne", "we", "our"), based in Panama.

2. Acceptance of Terms

These Terms constitute a legally binding agreement between you (the "User") and ProjexaOne. By registering, you agree to:

• Be at least 18 years old or the legal age of majority in your jurisdiction.
• Have authority to contract on behalf of your organization.
• Provide truthful and complete information during registration.
• Maintain the confidentiality of your access credentials.

3. User Accounts and Access

3.1 Registration

You must register an account to access the service. The management company account ("Owner") has full backoffice access. Residents access via invitation through the resident portal.

3.2 Account Security

You are responsible for maintaining the security of your password and all activities that occur in your account. Immediately notify admin@projexaai.com of any unauthorized use. ProjexaOne will not be liable for losses caused by unauthorized use resulting from your negligence.

3.3 Multi-Organization

The platform allows managing multiple PHs (organizations) under the same management company. Each PH is an independent tenant with data isolation.

4. Plans, Subscriptions and Payments

4.1 Available Plans

ProjexaOne offers subscription plans with different levels of functionality and usage limits (units, storage, users). Current details and prices are available on the plans page.

4.2 Billing

Subscriptions are billed in advance monthly or annually depending on the chosen plan. Payments are processed through secure payment providers. By providing a payment method, you authorize recurring charges.

4.3 Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Cancellation will be effective at the end of the billed period. No pro-rated refunds are issued for unused periods unless required by applicable law. ProjexaOne may offer refunds at its discretion for billing errors.

4.4 Price Changes

ProjexaOne reserves the right to modify prices with at least 30 days advance notice. Continued use of the service after the price change constitutes acceptance of the new price.

5. Acceptable Use

You agree NOT to use the service to:

• Illegal or fraudulent activities.
• Transmit viruses, malware or other harmful code.
• Attempt unauthorized access to third-party systems or data.
• Collect data from other users without their consent.
• Reverse-engineer the software.
• Exceed the usage limits established in your plan.
• Resell or sublicense the service without express authorization.

ProjexaOne reserves the right to suspend or cancel accounts that violate these conditions, without refund.

6. Intellectual Property

6.1 ProjexaOne Property

ProjexaOne and all its content, features, functionality, source code, design, trademarks and logos are the exclusive property of ProjexaOne and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the service under these Terms.

6.2 User Data

You retain ownership of all data you enter into the platform. You grant us a limited license to process such data solely for the purpose of providing the service. We do not sell or exploit your data for our own commercial purposes.

7. Privacy and Data Protection

The processing of your personal data is governed by our Privacy Policy, available at Privacy Policy, which forms an integral part of these Terms.

By using the service, you confirm having read and accepted our Privacy Policy, including the use of cookies and similar tracking technologies.

8. Service Availability

We strive to maintain 99.5% monthly availability. However, we do not guarantee uninterrupted service. We may temporarily interrupt the service for maintenance, updates or due to causes beyond our control, including failures of third-party infrastructure providers.

ProjexaOne will not be liable for damages or losses caused by service interruptions.

9. Limitation of Liability

To the maximum extent permitted by applicable law, ProjexaOne will not be liable for:

• Loss of data, revenue, profits or business.
• Indirect, incidental, special, punitive or consequential damages.
• Human errors in data entry or management by the user.
• Unauthorized access resulting from user-compromised passwords.
• Financial or administrative decisions based on system reports.

ProjexaOne's total maximum liability to you for any cause will not exceed the amount you paid for the service in the 3 months prior to the event giving rise to the claim.

10. Indemnification

You agree to defend, indemnify and hold harmless ProjexaOne and its officers, employees and agents from any claims, damages, obligations, losses, liabilities, costs or debts, and expenses (including attorney fees) arising from: (i) your use of the service; (ii) your violation of these Terms; (iii) violation of third-party rights, including intellectual property or privacy rights.

11. Service Termination

11.1 By the User

You may cancel your account at any time from your settings. After cancellation, you will have access until the end of the paid period. After that period, your data will be deleted per our Privacy Policy.

11.2 By ProjexaOne

We may suspend or terminate your access with prior notice if: (a) you violate these Terms; (b) you do not pay the subscription; (c) we discontinue the service. In case of discontinuation, we will give you at least 90 days notice and facilities to export your data.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified at least 15 days in advance by email or through a notice on the platform. Continued use of the service after the effective date of the changes constitutes your acceptance of the new Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Panama. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Panama City, without prejudice to ProjexaOne's right to seek injunctive relief in any jurisdiction.

14. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between the parties.
• Severability: If any provision is declared invalid, the remaining provisions will continue in effect.
• Waiver: Failure to exercise any right under these Terms does not constitute a waiver of such right.
• Assignment: You may not assign your rights under these Terms without our prior written authorization. ProjexaOne may freely assign these Terms in case of merger, acquisition or asset sale.
